1. Engagement & Acceptance

By accessing our website, initiating a discovery session, or signing a statement of work (SOW) with NexaEagle, you agree to be bound by these Terms & Conditions. If you are entering into this agreement on behalf of a company, you warrant that you have full legal authority to bind that entity.

2. Scope of Services

NexaEagle provides bespoke software engineering, web application development, UI/UX design, headless e-commerce builds, security audits, and dedicated maintenance support as detailed in individual client agreements.

Any changes to project scope during active sprints will be formally documented via Change Orders detailing timeline or cost adjustments before execution.

3. Intellectual Property (IP) Transfer

Upon final settlement of all agreed project milestone invoices:

• Client Ownership: 100% of the custom application code, bespoke designs, assets, and database architecture built specifically for the client transfer entirely to the client.
• Pre-existing Frameworks: Open-source tools (e.g. Next.js, React, Tailwind, Prisma) remain governed by their respective permissive licenses (MIT/Apache 2.0).
• Portfolio Rights: NexaEagle retains the non-exclusive right to showcase non-confidential project highlights, case studies, and visuals in our portfolio unless a formal NDA restricts publication.

4. Payment & Milestones

Invoices are issued based on sprint milestones or retainer periods. Payments are due within the terms specified on the invoice (typically net 14 days). Late payments may pause active development pipelines until rectified.

5. Limitation of Liability

To the maximum extent permitted by applicable law, NexaEagle shall not be liable for indirect, incidental, or consequential damages resulting from third-party hosting outages, DNS propagation delays, or external API failures outside of our reasonable control.

6. Governing Law & Dispute Resolution

These Terms shall be construed in accordance with standard international commercial laws. Any disputes shall first be resolved through good-faith executive mediation prior to formal arbitration.
